Terms of Service

These terms and conditions apply to the Services provided by Oriel to Members. By clicking “Sign Up” or registering, accessing or using our services, you agree to these legally binding terms. If you disagree, do not access or use the services.

Interpretation

Definitions and interpretation rules apply. Key terms include:

• Account: the Member’s account on the Platform.
• Member: the Entrepreneur, Investor, Partner or Practice who enters this agreement with Oriel.
• Oriel: Oriel Services Limited (company number 11812514).
• Platform: www.orielipo.com

Membership

• Members are granted a non-exclusive, non-transferable right to use the Services during the Term.
• Oriel only facilitates connections between Members; it does not endorse or control member services.

Content

• Members must not upload illegal or harmful content or introduce Viruses.
• Oriel may disable access for violations.

Services

Oriel aims for 24/7 Platform access, barring scheduled or emergency maintenance. Changes to Terms will be communicated via the Platform.

Data Protection

Both parties act as joint Data Controllers. Obligations include:

• Compliance with Data Protection Legislation
• Proper notification and handling of personal data
• Data transfers outside the UK must follow legal safeguards

Third Party Providers

Use of third-party sites is at the Member’s risk. Oriel disclaims responsibility for third-party content or services.

Oriel’s Obligations

• Provide Services with reasonable care and skill
• No warranties on uninterrupted service or specific outcomes
• Back-up and restoration obligations are limited

Member’s Obligations

• Provide necessary cooperation and accurate data
• Maintain network connections
• Responsible for Member Data legality and quality

Charges and Payment

Fees are due on the Effective Date and at each renewal. Payments processed via GoCardless. Oriel may suspend access for non-payment and apply interest on overdue amounts.

Proprietary Rights

Oriel retains ownership of all intellectual property in the Platform and Services.

Confidentiality

Each party agrees not to disclose the other’s confidential information, except as legally required or with permission.

Indemnity

Each party indemnifies the other for third-party claims arising from their use of the Services, subject to notification and cooperation clauses.

Limitation of Liability

• Excludes liability for investment decisions or indirect losses
• Total liability limited to £100,000 per claim
• Excludes liability for Oriel’s IP infringement by Member

Term and Termination

Membership renews annually unless terminated in writing. Either party may terminate for cause including non-payment or reputational harm.

Force Majeure

Neither party is liable for delays due to uncontrollable events. Agreement may be terminated if such events persist over 4 weeks.

General Terms

• Waiver: Must be in writing
• Severance: Invalid terms do not affect the rest
• Entire Agreement: Supersedes previous agreements
• Assignment: Oriel may assign; Member may not without consent
• No Partnership: Independent contractors only
• Third-party Rights: None under Contracts Act 1999

Governing Law and Jurisdiction

This agreement is governed by English law. Disputes will be resolved in the courts of England and Wales.

Comments

When visitors leave comments on the site we collect the data shown in the comments form, and also the visitor’s IP address and browser user agent string to help spam detection.

An anonymised string created from your email address (also called a hash) may be provided to the Gravatar service to see if you are using it. The Gravatar service privacy policy is available here: https://automattic.com/privacy/. After approval of your comment, your profile picture is visible to the public in the context of your comment.

Media

If you upload images to the website, you should avoid uploading images with embedded location data (EXIF GPS) included. Visitors to the website can download and extract any location data from images on the website.

Cookies

If you leave a comment on our site you may opt-in to saving your name, email address and website in cookies. These are for your convenience so that you do not have to fill in your details again when you leave another comment. These cookies will last for one year.

If you visit our login page, we will set a temporary cookie to determine if your browser accepts cookies. This cookie contains no personal data and is discarded when you close your browser.

When you log in, we will also set up several cookies to save your login information and your screen display choices. Login cookies last for two days, and screen options cookies last for a year. If you select “Remember Me”, your login will persist for two weeks. If you log out of your account, the login cookies will be removed.

If you edit or publish an article, an additional cookie will be saved in your browser. This cookie includes no personal data and simply indicates the post ID of the article you just edited. It expires after 1 day.

Embedded content from other websites

Articles on this site may include embedded content (e.g. videos, images, articles, etc.). Embedded content from other websites behaves in the exact same way as if the visitor has visited the other website.

These websites may collect data about you, use cookies, embed additional third-party tracking, and monitor your interaction with that embedded content, including tracking your interaction with the embedded content if you have an account and are logged in to that website.

Who we share your data with

If you request a password reset, your IP address will be included in the reset email.

How long we retain your data

If you leave a comment, the comment and its metadata are retained indefinitely. This is so we can recognize and approve any follow-up comments automatically instead of holding them in a moderation queue.

For users that register on our website (if any), we also store the personal information they provide in their user profile. All users can see, edit, or delete their personal information at any time (except they cannot change their username). Website administrators can also see and edit that information.

What rights you have over your data

If you have an account on this site, or have left comments, you can request to receive an exported file of the personal data we hold about you, including any data you have provided to us. You can also request that we erase any personal data we hold about you. This does not include any data we are obliged to keep for administrative, legal, or security purposes.
